Terms of Service

Welcome to Compread ("Compread," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Compread website, web application, and related services (collectively, the "Service"). The Service is operated by Compread ("Company").

Please read these Terms carefully. By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not use the Service.


1. Definitions

  • "Account" means the registered user account you create to access the Service.
  • "Content" means any text, passages, notes, annotations, tags, or other material submitted, uploaded, or stored by you through the Service.
  • "Module" means a user-created study unit composed of one or more passages and associated materials, rendered in Compread's ModuleView interactive reading format.
  • "ModuleView" means the proprietary interactive reading-comprehension interface that displays user-created Modules.
  • "User," "you," "your" means the individual who accesses or uses the Service.

2. Eligibility

To use the Service, you must:

  1. Be at least 13 years of age (or the minimum age of digital consent in your jurisdiction, whichever is higher). If you are under 18 (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
  2. Have the legal capacity to enter into a binding contract.
  3. Not be barred from using the Service under the laws of the United States or any other applicable jurisdiction.
  4. Provide accurate, current, and complete information when registering.

We reserve the right to refuse service, terminate accounts, or cancel access at our sole discretion.


3. Accounts and Security

3.1 Registration

You must create an Account to use most features of the Service. You agree to:

  • Provide accurate and complete registration information.
  • Keep your login credentials confidential.
  • Notify us immediately of any unauthorized access or security breach.
  • Be solely responsible for all activity that occurs under your Account.

3.2 One Account Per User

Each User may maintain only one Account unless expressly authorized by us in writing.

3.3 Account Security

We are not liable for any loss or damage arising from your failure to safeguard your credentials. You agree to use a strong, unique password and to log out of shared devices.


4. Description of the Service

Compread is a study platform that allows registered Users to:

  • Create Modules composed of passages they select or compile for the purpose of personal study and reading-comprehension practice (such as preparation for the MCAT CARS section or similar assessments).
  • View their Modules through the ModuleView interactive interface designed to support focused reading comprehension.
  • Save, organize, edit, and revisit their Modules within their private Account.

The Service is provided solely for personal, non-commercial study purposes.


5. User Content

5.1 Your Ownership

You retain all rights you have in and to the Content you submit to the Service. Compread does not claim ownership of your Content.

5.2 Limited License to Compread

Solely to operate and provide the Service to you, you grant Compread a limited, non-exclusive, worldwide, royalty-free license to host, store, process, display, and transmit your Content only to your own Account and only for the purpose of rendering your Modules to you in ModuleView. This license terminates when you delete the Content or your Account, subject to the retention provisions in Section 14 and our backup cycles.

5.3 No Sharing of Your Content

Your Content is private to your Account. Compread does not publish, share, sell, license, display, or otherwise disclose your Content to any other User, third party, or the public. We do not use your Content to train machine-learning models, to generate content for other Users, or for advertising purposes. Access to your Content by Compread personnel is limited to the narrow circumstances described in Section 5.5.

5.4 Your Responsibility for Content

You are solely responsible for the Content you submit to the Service, including any passages, excerpts, or text you paste or upload from outside sources. You represent and warrant that:

  1. You own your Content or have obtained all necessary rights, licenses, consents, and permissions to submit it to the Service; or
  2. Your submission and personal study use of the Content qualifies as fair use, fair dealing, or is otherwise permitted under applicable copyright law in your jurisdiction.

You acknowledge that many passages used for MCAT CARS preparation and similar study purposes may be protected by copyright owned by third parties. The Service is designed to keep your Content private to your Account, which supports personal-study use; however, you — not Compread — are responsible for ensuring your use complies with applicable law. You agree to indemnify Compread for any claims arising from your Content (see Section 16).

5.5 Limited Access by Compread

Compread personnel will not access your Content except as necessary to:

  • Provide technical support at your request.
  • Investigate suspected violations of these Terms after a good-faith determination that access is necessary.
  • Comply with valid legal process (subpoena, court order, warrant, or equivalent legal obligation).
  • Respond to a security incident.
  • Perform routine, automated systems maintenance (e.g., backups, database migrations) in which Content is handled but not read.

5.6 Prohibited Content

You agree not to submit Content that:

  • Infringes any patent, trademark, trade secret, copyright, or other intellectual-property right in a manner beyond what is permitted by law for personal study.
  • Is unlawful, defamatory, obscene, pornographic (including any sexualized content involving minors), harassing, threatening, or that promotes violence or discrimination.
  • Contains malware, viruses, or any code intended to harm or disrupt the Service.
  • Contains personal data of another person submitted without their consent (beyond what is incidentally present in source passages).
  • Violates any applicable law or regulation.

We reserve the right — but have no obligation — to remove Content that we reasonably believe violates these Terms, with or without notice.


6. Copyright and DMCA

6.1 Respect for Copyright

Compread respects the intellectual-property rights of others and expects Users to do the same.

6.2 DMCA Notices

If you are a copyright owner (or authorized agent) and believe that Content within the Service infringes your copyright, please send a written notice to our Designated DMCA Agent containing:

  1. A physical or electronic signature of the person authorized to act on behalf of the copyright owner.
  2. Identification of the copyrighted work claimed to be infringed.
  3. Identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate it.
  4. Your contact information (address, telephone, email).
  5. A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law.
  6. A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.

Because Content on the Service is private to individual User accounts and not publicly displayed, copyright-holders should understand that any allegedly infringing material will be in a private Account. We will nonetheless evaluate properly submitted notices and respond as required by applicable law.

6.3 Counter-Notice

If your Content was removed in response to a DMCA notice and you believe the removal was in error, you may submit a counter-notice as permitted by 17 U.S.C. § 512(g).

6.4 Repeat Infringers

We will, in appropriate circumstances, terminate Accounts of Users who are repeat infringers.


7. Acceptable Use

You agree not to, and not to permit any third party to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Access the Service using automated means (bots, scrapers, crawlers) except as expressly authorized.
  • Attempt to reverse engineer, decompile, or disassemble any part of the Service.
  • Circumvent, disable, or interfere with security or authentication features.
  • Share your Account credentials or allow others to use your Account.
  • Resell, sublicense, or commercially exploit the Service or any Modules generated on it.
  • Use the Service to distribute malware or engage in phishing, fraud, or other deceptive practices.
  • Submit an excessive volume of data or requests designed to degrade the Service for others.
  • Use the Service to develop a competing product or to benchmark it without our prior written consent.
  • Impersonate any person or misrepresent your affiliation with any person or entity.

8. Intellectual Property of Compread

Excluding User Content, the Service and all materials included in or provided through it — including software, code, designs, graphics, logos, trademarks, the ModuleView interface, text, layouts, and the selection, arrangement, and organization thereof — are owned by Compread or its licensors and are protected by copyright, trademark, trade-dress, patent, and other intellectual-property laws.

Subject to your compliance with these Terms, Compread grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial study purposes. No other rights are granted by implication, estoppel, or otherwise.


9. Feedback

If you provide us with suggestions, ideas, or feedback about the Service ("Feedback"), you grant Compread a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate the Feedback into the Service without obligation or compensation to you. Feedback is not confidential.


10. Privacy

Your use of the Service is governed by our Privacy Policy, which describes how we collect, use, and protect personal information. Please review it at https://www.compread.com/privacy.


11. Fees, Subscriptions, and Billing

11.1 Free and Paid Features

The Service may offer free features and/or paid features ("Paid Features"). If you purchase Paid Features, you agree to the pricing and billing terms presented at the time of purchase.

11.2 Subscriptions

Paid subscriptions renew automatically at the end of each billing cycle unless canceled before the renewal date. You authorize us (or our payment processor) to charge your payment method on a recurring basis.

11.3 Cancellation

You may cancel a subscription at any time through your Account settings. Cancellation takes effect at the end of the current billing period. Unless otherwise required by law, fees are non-refundable.

11.4 Price Changes

We may change prices at any time, effective at the start of the next billing cycle. We will provide reasonable advance notice.

11.5 Taxes

You are responsible for any applicable taxes on your purchases.

(If Compread is currently free, Sections 11.2–11.5 apply prospectively if and when Paid Features are introduced.)


12. Third-Party Services

The Service may contain links to or integrations with third-party websites, services, or content not owned or controlled by Compread. We are not responsible for such third parties. Your use of third-party services is subject to their own terms and privacy policies.


13. Modifications to the Service

We may modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuance. We will make reasonable efforts to provide advance notice of material changes that adversely affect existing Users.


14. Termination

14.1 Termination by You

You may terminate your Account at any time by using the deletion option in your settings or by contacting us at [support@compread.com].

14.2 Termination by Compread

We may suspend or terminate your Account and access to the Service, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or for any reason at our sole discretion.

14.3 Effect of Termination

Upon termination, your right to use the Service immediately ends. We will delete your Content from active systems within a reasonable period consistent with our data-retention schedule, subject to retention in backups for a limited period and retention required by law. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.


15. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by law, Compread disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement.

Without limiting the foregoing, Compread does not warrant that:

  • The Service will meet your requirements or expectations.
  • The Service will be uninterrupted, timely, secure, or error-free.
  • The ModuleView interface will improve your test performance or study outcomes.
  • Any errors in the Service will be corrected.

Compread is a study tool. It is not affiliated with the Association of American Medical Colleges (AAMC), the MCAT, or any other testing organization or test-preparation service. Any references to the MCAT or CARS are descriptive of study use cases only.

Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.


16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL COMPREAD, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR STUDY OUTCOMES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

COMPREAD'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID COMPREAD IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions our liability is limited to the fullest extent permitted by law.


17. Indemnification

You agree to defend, indemnify, and hold harmless Compread, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  1. Your Content, including any claim that your Content infringes or misappropriates the rights of a third party.
  2. Your use or misuse of the Service.
  3. Your violation of these Terms.
  4. Your violation of any applicable law or the rights of any third party.

Compread reserves the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.


18. Governing Law and Dispute Resolution

18.1 Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles.

18.2 Informal Resolution

Before filing any formal claim, you agree to first contact us at [support@compread.com] and attempt to resolve the dispute informally for at least thirty (30) days.

18.3 Exceptions

Either party may bring an action in small-claims court or seek injunctive relief in a court of competent jurisdiction to protect its intellectual-property rights.

18.4 Venue

If the arbitration provision is unenforceable or inapplicable, exclusive jurisdiction and venue lie in the state or federal courts located in Suffolk County, Commonwealth of Massachusetts.


19. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the revised Terms on the Service and update the "Last Updated" date. If changes are material, we will notify you by email or in-product notice at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service and may delete your Account.


20. General Provisions

20.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Compread regarding the Service and supersede any prior agreements.

20.2 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

20.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

20.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without notice.

20.5 Force Majeure

Compread will not be liable for any delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, internet outages, or governmental actions.

20.6 Notices

Notices to you may be sent to the email address associated with your Account or posted within the Service. Notices to Compread should be sent to [support@compread.com].

20.7 Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Compread.

20.8 Headings

Section headings are for convenience only and have no legal effect.
